"Reading the Riot Act"—Why Notice and Opportunity to Cure Matter (Ward and Smith, PA)

The better course in employing harsh contract remedies is to first provide a notice and a genuine opportunity to cure to the other party.

The remedy of terminating the other party's right to perform and the remedy of performing work and backcharging are harsh insofar as they deprive the breaching party of the benefit of the bargain of the contract. A common error is to describe the notice of cure period as well as the period after which the nonbreaching party may impose its remedies without making clear whether those periods are the same or are two separate, consecutive periods. The nonbreaching party should not be prejudiced by providing the breaching party an extended period to cure. Doing so may avoid greater loss for both parties and will certainly allow the noticing party to don the "white hat" of commercial reasonableness. In providing notice and opportunity to cure, be sure to follow the applicable contract provision. If the nonbreaching party provided notice and an opportunity to cure prior to calling out the Redcoats then the litigation will be conducted in a much more straightforward and efficient manner, for both parties, as it will be easier to narrow the issues in dispute to those raised in the notice to cure (and any response from the breaching party). The breaching party is in the best position to efficiently and cost-effectively address the issue that gives rise to the breach. The parties' joint interest in minimizing waste supports giving every opportunity to fix the problem to the party with responsibility for performing the work in question. Thus, as the nonbreaching party, you should provide the breaching party with notice and an opportunity to cure because the contract requires it. The breaching party may choose to address the demanded cure actions, even if they believe they are not required to do so. Providing the breaching party with notice allows them to respond and raise new facts that may address the noticing party's concerns or at least refine the issues that need to be addressed. The point was to first give the rioters notice that their behavior was wrong and then provide them with an opportunity to disperse on their own accord, otherwise, they would be dispersed at the point of the bayonet.

As for the work of the Cancer Center and One Cure, Regan said, “CSU sits in this powerful position, with a unique facility, infrastructure and personnel, to try and make a dent, and to turn certain cancers into chronic diseases that are manageable long-term, like heart disease or diabetes.” It’s too early to know whether Regan and Dow’s pediatric bone cancer trial will yield the same positive results as it did in dogs. One Cure is partnering with the football team to raise awareness and achieve a fundraising goal of $20,000 this month for comparative oncology research at CSU. As O’Neil learned about CSU’s comparative oncology program, she committed her time and talents to the cause, [founding a fundraising initiative called One Cure](https://www.csuanimalcancercenter.org/about-one-cure/) that has now celebrated more than a decade of supporting critical research in pet and human cancers. Regan and Dow’s osteosarcoma study was one of several research projects to receive initial funding through One Cure. The encouraging results of the losartan study in dogs prompted Regan and Dow to reach out to oncologist colleagues at Children’s Hospital Colorado, all part of the University of Colorado Cancer Center consortium. It’s efforts like this that illustrate the tantalizing opportunities afforded by comparative oncology, and the ways in which CSU is ahead of the curve. The study is an almost exact replica of a canine osteosarcoma trial Regan and Dow ran out of CSU’s Flint Animal Cancer Center and wrapped up in 2019, which involved 20 dogs with bone cancer that had metastasized to their lungs. Dow and Regan proposed a study using losartan in pediatric bone cancer patients with tumor metastases who had failed to respond to conventional treatment. Steven Dow, professor in the Department of Clinical Sciences, are performing immune correlative analyses of patient samples from the children’s cancer trial being led by pediatric oncologists in Colorado and Georgia. Alba was diagnosed with osteosarcoma in 2015 and was enrolled in a CSU clinical trial.

HARRISON COUNTY, OH — Tractors upon tractors were at the Harrison County Fair Grounds for the pull for a cure to raise money for breast cancer.

"These people that don't have a lot of money and they are suffering from this disease that they are traveling to and from," Myers said. We just had a young lady that came back from Texas and we gave her some money. "Last year we did about $18,000 dollars," Pull for a Cure President Joe Myers said.
